Google Link Disavow and sites with extremely heavy but poor link metrics

Need help/opinions from the SEO's out there. I am working with a site that in the past hired an SEO company out of India. Over the course of their time together, this company submitted the clients url to tens of thousands of link exchanges and directories.
Around the time of Penguin, the owners told me their inquiries dried up. Literally that same week they had a new website launched (designed by a local competitor) that really butchered the site. They were convinced the reduction in traffic/inquiries was due to the new site but I am convinced otherwise (suspect Penguin).
Not only does the site need to be re-structured but their link portfolio needs to be diversified.
Now on the plus side, the company caters and sponsors a number of events that earns them organic, relevant links. These are overshadowed by the tons of poor, irrelevant ones though.
I read a few posts recently on the Google Link Disavow tool and to proceed slowly due to the unknown nature surrounding it. I have a good idea of what links are problematic and which ones are well served. However, the number of problematic links in my estimation is quite high (thousands). I am very hesitant to dive into Google Disavow and submit such a large number of requests.
What are your thoughts? How would you proceed?

I know that some of them are very questionable. The sites listed right next to this persons in some cases are explicit to say the least.
Others are very misleading and have no relevance to the company in question what so ever. These really bad ones I will work on manually removing. Others that seem to provide no value might go the route of a domain level disavow.
Has anyone used the Disavow tool yet? Any successes?

You know they are bad ? Try to get as many as possible removed. And THEN Disavow the rest. I stress the importance of actually getting some removed. I don't think you'll be successful in just disavowing all those thousands of links alone.
So yeah, those links may have been helping the site to rank before ..but that's not going to happen again. You need to get rid of them, while also attracting new links at the same time.

How often should you do a link audit and disavow?
Howdy Moz Fans! (Said as I twirl my non-existent mustache... damn you Rand and your cool 'stache"..!!) So I am wondering, how often should one go through and do a link audit? The last time that I really went through a link audit was 8-12 months ago (actually, looking at my disavow upload it was Jan 2015). Is it time that I do another full scale audit of my backlinks?

Do I get any link juice from a PHP header redirect from another site?
For example would: www.site-A.com/click-tracking.php?site=www.site-B.com contain any link juice? Would a 301 redirect be the simple solution?

Google Webmaster Tools Message regarding unnatural links - how to respond
I acquired a small website which was subsequently hit by Google Panda for unnatural links. Since the previous owner was involved in the link building, I'm not sure what to look for. Here's the message I received from Google: ** Message from Google ** "We've reviewed your site and we still see links to your site that violate our quality guidelines. Specifically, look for possibly artificial or unnatural links pointing to your site that could be intended to manipulate PageRank. Examples of unnatural linking could include buying links to pass pagerank or participating in link schemes. We encourage you to make changes to comply with our quality guidelines. Once you've made these changes, please submit your site for reconsideration in Google's search results. If you find unnatural links to your site that you are unable to control or remove, please provide the details in your reconsideration request. ** End Message from Google ** I'm not sure how to locate "unnatural links" when there are so many pointing to the site. For example, are there specific domains I should look for that are known offenders? Or, should I look for sites that are using obvious anchor text that seems orchestrated? I have a client that bought a link for his site on a non related site with the anchor text for main KW. That site brought over 1 million links to my client's site. Now what should i do? Should i let the link there? Or should i remove it? The age of the link is more than 1 year, and the link is placed in top menu, under the header.

Best Way to Analyse Linking Structure of My Site
My site http://www.taxproblem.org is now undergoing many changes due to bad report card scores from this site. I've had people tell me that my linking structure was obviously artificial, especially if most of my links are from "Mr. Wong - social site" O.K. stop laughing 🙂 Yes we use bookmarking demon and rss feed wp plug ins, etc. But haven't discovered how to best get links yet, although reading a lot and waiting on seomoz's DVD's I ordered. 1.
